We will process filings on behalf of businesses (LLCs, LPs, LLPs, LLLPs, Inc, and TNs), obtain documents including certified copies of case filings for businesses and individuals, and review submissions for all agencies.
Because our staff is not licensed to practice law, clients must fill out their own forms. We may make minor changes (upon your request), but we primarily review documents for issues that may result in a rejection from the state.
Most of the forms provided by the ACC are required to use. However, the ACC will accept the following documents to be free handed/outlined forms so long as they provide all the necessary information:

Foreign Registration Statement
Statutory Agent Acceptance
Certificate of Disclosure

The SOS requires all filings to be submitted using state forms.
A Statutory Agent is a person or business that has a physical address in Arizona. A Statutory Agent's responsibility is to accept Service of Process or legal documents on behalf of a corporation or limited liability company.
Every corporation and limited liability company is required to appoint and maintain a Statutory Agent at all times and the agent’s address must be located in Arizona. Failure of a business to maintain a Statutory Agent will result in the business being administratively dissolved.
If a Statutory Agent is an individual, that person must be 18 years of age and reside in Arizona. If a Statutory Agent is a business, that business must have an address in Arizona and must be authorized to transact business in this state.

For Corporations, only an officer listed on the entity with the ACC can sign. If you are unsure who the current officers are, you can search the entity on ecorp.azcc.gov and the officers will be listed under the principal information
LLCs can have anyone who is an authorized signer sign their documents, or have a manager or member listed on the entity with the ACC to sign.
A foreign corporation requires the following:
Certified copies of all articles and amendments on file in domicile state and the Certificate of Good Standing
A foreign LLC requires the following
Certified copies of the formation documents and a certified copy of the Certificate of Good Standing
***NOTE! All files must be dated within 60 days of submission
You can! However, they cannot be submitted at the same time. The filing must be submitted and approved by the state before we are able to request and obtain copies. So, it is a two-part request. Once the approval for the filing comes in we'll return that first part to you, confirm that copy request has been submitted as well as provide a turnaround time for the copies, so you are in the know.
New clients will need to submit payment prior to processing the request.
Once a client has been established with our company for some time, we may transition to advancing the fees on behalf of the client and the client may pay us after completion so long as it is within 30 days.
At this time, we only do filings and retrievals in Arizona and Nevada but we are looking to expand!
Yes, we are able to file a Fictitious Firm Name Registration, specifically with Clark County. However, the original documents with the wet signature are required to be sent to our NV office to process filing.
The ACC offers Regular Processing, Standard Expedited, Same Day, Next Day and 2-hour options for expedite
The AZ SOS offers Regular Processing and Standard Expedite. NO SAME DAY OR NEXT DAY AVAILABLE
The NV SOS offers Regular Processing, Next Day, 2-hour and 1-hour options for expedite
The Maricopa Superior Court offers same day with a runner but typically TAT is 24-48 hours
All other courts and recorders in Arizona and Nevada do NOT offer an expedited option
